Plain-English Overview (not a substitute for the Terms):

BY AGREEING TO THESE CANDIDATE TERMS & CONSENT, YOU UNDERSTAND AND ACKNOWLEDGE THAT YOU ARE PROVIDING THE COMPANY WITH AN ABSOLUTE AND UNCONDITIONAL WAIVER AND RELEASE OF LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM YOUR USE OF THE COMPANY’S SEVICES AND/OR PLATFORM.

YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE CANDIDATE TERMS & CONSENT AND THAT YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE COMPANY. SEE SECTION 12 OF THESE CANDIDATE TERMS & CONSENT FOR ADDITIONAL DETAILS.

In addition, you consent to audio/video recording, transcription, and processing of your submissions so we can score job-related skills and share results with the inviting employer. We may use automated scoring; AI can make mistakes—outputs are advisory, one factor, and provided as-is with no warranties. You must follow our integrity rules (no cheating/impersonation/unauthorized tools). You may request reasonable accommodations from the inviting Employer, which will be approved or denied in the inviting Employer’s sole discretion. We will use reasonable efforts to implement those accommodations at the inviting Employer’s direction. We do not make any determinations with regard to whether requested accommodations are approved or denied. Disputes are handled by individual arbitration (with a 30-day opt-out). Our liability is capped and excludes employment-decision losses. See our Privacy Policy for data practices.


1) Who these Terms apply to

These Candidate Terms & Consent (these “Terms”) will apply when you, the candidate (the “candidate” or “you”) take an assessment through our platform at the invitation of a prospective employer (the “Employer”). By starting an assessment or clicking “I Agree,” you accept and consent to these Terms.

2) Eligibility (Age 18+)

By starting an assessment or clicking “I Agree”, you represent that you are 18 year of age or older. Our services and/or platform are not intended for children under the age of 18.

3) Consent to recording, transcription, and processing

By starting an assessment or clicking “I Agree,” you agree and consent to the following:

  • Audio/video recording of your assessment session;
  • Creation and use of a text transcript of spoken responses; and
  • Processing of your submissions (including recordings, transcripts, files you upload, clicks/timestamps and similar technical events) to administer, secure, and score the assessment and to provide results to the Employer.

This consent is intended to satisfy the consent requirements of all one-party and all-party recording jurisdictions and the Company takes all reasonable measures to comply with all applicable federal, state, and local laws.

4) Automated scoring; one-factor use; AI fallibility

Your responses may be evaluated by automated systems and/or human reviewers.

  • Results are one data point used by the Employer in making hiring decisions and are not the sole basis used by Employers for hiring decisions; a human review step remains available in the Employer’s sole discretion.
  • You understand that AI is not a perfected science or tool and can make mistakes or hallucinate. We make no representations or warranties that any scores, analyses, or recommendations are accurate, complete, valid, reliable, or error-free. Output results are provided “as is” for informational use by the Employer.
  • By agreeing to these Terms, you consent to our use of AI systems (including large language models), and other automated systems including, but not limited to, computer hardware, software, servers and data storage systems (collectively, the “Automated Systems”), to provide the services and/or platform.  You understand that the use of Automated Systems entails risks, including, but not limited to, interruption of the services and/or platform, loss of information and communications failures.  We make no representation or warranty of any kind, express or implied, with respect to the selection, design, functionality or operation of the Automated Systems. 
  • We are not responsible for any flaw(s) in the design or implementation of the underlying third-party AI tools we utilize, including any manipulation, interpretation, misinterpretation or hallucination of any candidate results. We are not responsible for any security, privacy or data breach related to any third party Automated Systems or underlying third-party AI tools.
  • We do not use facial or voice analysis to evaluate your responses.

5) Roles; sharing; privacy

With respect to any and all assessment data, the Employer is the data controller and the Company acts as the Employer’s processor/service provider. We share your submissions, scores, and related assessment data with the Employer and with our service providers (e.g., cloud hosting, transcription) who process data under our instructions. For additional information on categories of data, purposes, retention, security, and your rights, review the Company’s Privacy Policy available on our Website. 6) Limited license to your submissions

By starting an assessment or clicking “I Agree,” you grant us and the Employer a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and process your submissions (recordings, transcripts, files, and related data) solely to: (a) administer and secure the assessment; (b) score and review your performance; and (c) conduct the Employer’s hiring process. We may use de-identified or aggregated data to maintain, analyze, and improve our services. We will not use your identifiable submissions for marketing without your separate written consent.

7) Assessment integrity

 By starting an assessment or clicking “I Agree,” you agree that you will not: (a) receive outside assistance or use unauthorized tools (including automated content/code generators where prohibited); (b) collaborate or share answers; (c) impersonate or allow someone else to take the assessment for you; (d) copy, disclose, or post assessment content; or (e) interfere with monitoring, security, or integrity controls. We may pause or terminate a session, invalidate results, and notify the Employer if we suspect a violation of these Terms.

8) Accessibility & accommodations

The Company is committed to ensuring that all Candidates have a fair and equal opportunity to provide submission data and take an assessment using the Company’s platform. To that end, we support reasonable accommodations for candidates with disabilities if such accommodations are approved by the Employer. 9) Acceptable use; security

By starting an assessment or clicking “I Agree,” you agree not misuse the service and/or platform (e.g., attempt to access others’ data, reverse-engineer, interfere with operation). We implement reasonable technical and organizational measures. Candidates should report security issues to [email protected] (subject: “Security”).

10) Assessment done voluntarily; no fees; no employment guarantee

By taking an assessment or clicking “I Agree,” you understand and agree that you are taking this assessment voluntarily without any coercion and that you do not pay us to take an assessment. Furthermore, participation with the service and platform does not guarantee the Candidate an interview, offer, or employment. Any and all employment decisions are made by the Employer.

11) Disclaimers

To the fullest extent permitted by law, the service and outputs provided by the Company are “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties that outputs will be accurate, complete, valid, reliable, or error-free.

No score is a guarantee of future job success.

12) WAIVER

BY AGREEING TO THESE TERMS, YOU RELEASE AND WAIVE ANY AND ALL CLAIMS YOU NOW HAVE OR WILL EVER HAVE IN CONNECTION WITH YOUR USE OF THE COMPANY’S SERVICES AND/OR THE PLATFORM, INCLUDING, WITHOUT LIMITATION, ANY CLAIM BASED ON (i) YOUR ASSESSMENT RESULTS, (ii) HOW YOUR ASSESSMENT IS SCORED, (iii) ANY ALLEGED UNFAIRNESS IN HOW THE ASSESSMENT IS ADMINISTERED OR SCORED, (iv) THE USE OF THE ASSESSMENT OR YOUR SCORES BY US, THE EMPLOYER OR ANY OTHER THIRD-PARTY (v) ANY ALLEGED DISCRIMINATION IN THE ADMINISTRATION OR SCORING OF THE ASSESSMENT (VI) ANY FLAW(S) IN THE DESIGN OR IMPLEMENTATION OF THE UNDERLYING THIRD-PARTY AI TOOLS OR OTHER AUTOMATED SYSTEMS WE UTILIZE, INCLUDING WITHOUT LIMITATION ANY MANIPULATION, INTERPRETATION, MISINTERPRETATION OR HALLUCINATION OF ANY ASSESSMENT RESULTS.

13) Limitation of liability

To the fullest extent permitted by law, and by taking an assessment or clicking “I Agree,” you agree to the following:

  • Our total liability to you for any claims arising out of or relating to any assessment will not exceed US $100.
  • We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for employment-related losses (including lost opportunity, wages, or reputation), even if advised of the possibility.
    These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose.

14) Your indemnity

You will indemnify and hold harmless the Company from any third-party claims, damages, and costs (including reasonable legal fees) arising from your: (a) breach of these Terms (including integrity rules); (b) infringing or unlawful submissions (e.g., IP, privacy, or publicity violations); or (c) impersonation or misrepresentation. This indemnity does not cover our willful misconduct or violation of applicable data-protection laws.

15) Dispute resolution; arbitration; class-action waiver; opt-out

Binding arbitration. By taking an assessment or clicking “I Agree,” you agree that any dispute with the Company related to these Terms and the platform and/or the services will be resolved by mutually-agreed binding arbitration on an individual basis under JAMS (or AAA) rules, seated in Philadelphia County, Pennsylvania, in English, unless you opt out below.
No class actions. You and the Company agree to waive any right to participate in a class, consolidated, or representative proceeding.
Opt-out (30 days). Within thirty (30) days of accepting these Terms, you understand and agree that you may opt out of the arbitration and the class-action waiver clauses set forth above by emailing [email protected], stating your name, the email used for the assessment, and that you opt out.
Injunctive relief. In conjunction with the arbitration clause set forth above, you and the Company understand that certain violations of these Terms or the use of the services or platform may result in damages that are not compensable by monetary amounts. In such events, the Company and/or you shall be permitted to seek injunctive relief with a court of competent jurisdiction to prevent any further damages connected to any violations or breach that are not compensable by monetary amounts.

16) Suspension; termination; survival

We may suspend or terminate access, or invalidate your results, if we believe you violated these Terms or for integrity/security reasons. Sections 4–15 and this Section 16 survive termination of these Terms.

17) Changes

The Company may, at its sole discretion, update these Terms from time to time. Material changes will be shown in-product or on the Company’s Website with the effective date. Your continued use after the effective date constitutes acceptance of any modified or updated Terms.

18) Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, excluding its conflict-of-law rules, and applicable U.S. federal law.

  • Assessment: The tasks, questions, or exercises you complete (e.g., timed spreadsheet/modeling tasks; written/video responses).
  • Submissions: Anything you provide or that is generated during your session, including recordings, transcripts, files you upload, and related technical events (timestamps, device/browser metadata).
  • Service providers: Vendors we use under contract (e.g., cloud hosting, transcription) who process data for us and not for their own purposes.
